The name of this organization shall be The Friends of the Robert V. Fullerton Art Museum.

To assist and support the Robert V. Fullerton Art Museum of California State  University, San Bernardino.

To provide first hand experience of the highest quality of art; to educate and encourage those interested in the visual arts.

To support exhibitions, lectures and other activities that will increase the members’ knowledge and awareness of the visual arts.

There shall be six categories of members as follows:Student/Senior Citizen, Friend, Family, Associate, Contributor, and Sponsor.

Membership shall be paid annually and be renewable twelve months from the month of enrollment. Those, whose dues are not paid within 60 days, thereafter shall be automatically dropped from membership.

The Vice President/Membership Coordinator shall notify those whose Memberships are in arrears.

The officers of this organization shall be President, Vice-President, Secretary, & Events Chairperson. These officers shall perform the duties prescribed in these by-laws. The Executive Board shall consist of these four officers and Director of the Museum as ex-officio.

The Board shall consist of no more than members that are approved by the existing Board of Directors. The Provost or designee, the Director of the Museum, and the Director of the Office of Development or designee shall be ex-officio members of the board.

The officers and board members shall be nominated by a nominating Committee of three members appointed by the Board of Directors.

Board members who have two unexcused absences during one year will be replaced.

The President, with the approval of the Board, may fill vacancies whose terms of office shall be until the next regular election.

President

It shall be the duty of the President to call to order and to preside at all Meetings of the Board of Directors. The president will appoint committees and coordinate all activities of the Friends of the Museum. He/she shall sit as a member of the Museum Advisory Board.

Vice President/Membership

The Vice-President shall act in the absence of the President. The Vice-President shall also be responsible for promoting membership growth, as well as maintaining rosters and notifying members of renewal dates.

Secretary

The Secretary shall keep a record of the proceedings of all the meetings and shall be custodian of important papers. He/she shall be responsible to see that minutes of the board meetings are mailed out to the Board members two weeks before the next meeting.

The term of office for the Board shall be for two years and limited to two consecutive terms.

One half of the board shall be changed in any one year. At the close of the May meeting, vacancies shall be filled.

The Board shall meet on the call of the President as frequently as necessary. (Quarterly is suggested)

A quorum shall consist of one half plus one of the total Board of Directors.

The President with the Officers shall appoint all standing and special committees as deemed necessary.

By-laws shall be amended by a majority of the Board. Changes to the by-laws mMust be presented and discussed at one meeting and voted upon at the following meeting.

Standing Rules shall be amended by a majority vote of the Board at the meeting in which they are proposed.

A. Dues

1. The annual dues shall be those prescribed by the majority vote of the Board of Directors. The dues are to be used by the Robert V. Fullerton Art Museum, and for student awards. The dues are renewable every year in the month of initial membership.

These levels are as follows:

2. Contributors, at the above levels, to the Museum shall be considered automatic members of the Friends of the Robert V. Fullerton Art Museum for a period of one year.

B. Parliamentary Authority

The “Robert’s Rules of Order” shall be in authority in matters not covered by the By-Laws and standing rules.
